Davis Wright Tremaine LLP is seeking a litigation attorney for engagement through the firm’s contract attorney and alternative staffing program, DWTSurge. This contract attorney position will work with the Firm’s litigation practice group to help support and manage a high-volume of commercial litigation cases, including arbitrations, demand letters, small claims matters, and other litigation matters for large institutional DWT clients. Attorneys should be able to accommodate West Coast hours primarily, but there is flexibility on this. Attorneys must hold active bar admission in their state of residence and in a state where DWT maintains an office.

 

Attorneys with significant experience in arbitration, demand letters, small claims matters, dispute resolution, pre-litigation, all phases of litigation, and who are seeking more flexibility in their practice, are encouraged to apply. In addition to flexibility, candidates can expect to work closely with DWT attorneys as part of a collaborative team, providing high-value legal services to DWT clients .

 

This contract position offers the flexibility of remote work. This position is also flexible with respect to hours and is open to candidates seeking full-time or part-time hours. While the engagement is for an initial 6-month contract term, we anticipate the work to remain relatively steady and there is a high possibility of renewal of the contract position for successful candidates. We are looking for attorneys interested in establishing a long-term working relationship with the Firm.

 

The selected resource will be responsible for drafting pleadings, motions, and discovery, and working directly with client teams, arbitrators, counterparties, and other stakeholders in support of a large institutional client. Attorneys should be highly organized with strong case management skills and will be required to regularly manage multiple matters with competing deadlines. The ideal candidate will be diligent about both the substantive and administrative requirements of the role to ensure excellent client service, responsiveness, and efficiency in their work. Attorneys should be able to work independently and exercise good judgement, but should also collaborate easily with lawyers and support staff to meet discrete litigation objectives within short deadlines.

 

The Ideal Candidate will have:

 

  • 5+ years of litigation experience, specifically in arbitrations or small claims matters, in a mid-sized or large law firm and/or with large institutional clients.
  • Residency and active bar admission in one of the following states: AK, AZ, CA, CO, CT, FL, GA, IL, MD, MN, MT, NJ, NM, NY, OH, OR, PA*, TN, TX, VA, WA, WDC, or WV, and active bar admission in a state where DWT maintains an office. *jurisdiction-specific
  • Experience representing client interests when meeting and conferring with various stakeholders, including opposing counsel.
  • Strong drafting skills and experience.
  • Excellent legal drafting and communication skills, including oral and written advocacy.
  • Ability to distill research into meaningful and persuasive written work product, as well as to work meticulously to ensure work product quality.
  • High-level of responsiveness and client service abilities.
  • Availability to work at least 20 hours per week on an on-going basis, if seeking a part-time position. Availability to work at least 30 hours per week, not to exceed 40 hours weekly, on an on-going basis if seeking a full-time position.
  • Ability to work remotely and primarily support West Coast hours.

Davis Wright Tremaine LLP is seeking an experienced immigration paralegal for engagement through the firm’s alternative-track paralegal staffing program, DWTSurge. The selected paralegal will work with the Immigration practice group handling all aspects of business immigration matters, including nonimmigrant visas (H-1B, L-1, E, TN, O-1, B-1, F-1); consular processing; and immigrant visas (EB1, EB2, EB3, and PERM). The selected attorney will advise on federal tax matters arising in business transactions and strategic tax planning as well as federal tax matters arising in clean energy, financial services, healthcare, hospitality and other industries. The attorney may support DWT partners with corporate and transactional matters including, mergers and acquisitions, stock and asset acquisitions, equity investments, lending transactions, and restructurings. Additional responsibilities may include supporting DWT attorneys on clean energy projects and tax matters for regulated financial institutions, fintechs, and other industry participants.

 

The selected attorney may also support work involving complex joint ventures, many of which arise in the real estate development space as well as other industries. These matters often involve sophisticated economic-sharing arrangements among the parties, including complex distribution waterfalls and related tax structuring considerations.

 

This role involves working directly with DWT stakeholders, clients, and multidisciplinary project and deal teams to contribute tax insight to a wide range of matters. This work provides the opportunity to engage with both the tax and broader transactional aspects of joint venture structuring and documentation.

 

Key Responsibilities

  • Advise clients on federal income tax aspects of business transactions, including entity formations, mergers, acquisitions, restructurings, and joint ventures.
  • Structure and analyze tax-efficient transaction frameworks for strategic and private equity deals.
  • Draft and negotiate tax provisions in transactional documents, including purchase agreements and related ancillary agreements.
  • Conduct tax research on complex tax issues.
